Policies & Terms of Service
By engaging High Minded Media for any project or service, you agree to the following terms.
Privacy
Any personal information you provide, including your name, address, phone number, and email address, will not be released, sold, or rented to any outside entities or individuals. I do not collect credit card numbers directly. All payments are processed through pre-arranged platforms such as Venmo, Zelle, or PayPal.
Client Responsibilities
My job is to present you and your business in the most genuine and positive light possible. In exchange, you agree to provide everything I need to complete your project in a timely fashion. This includes reviewing my work, providing relevant feedback, and doing so within our agreed-upon timeframe.
Timelines
Most projects have a target completion date based on a normal range of completion time. If you have a firm deadline, let me know before or at the start of the project. I cannot be held responsible for “late” or “overdue” projects that have no established deadline.
I am not responsible for delays, errors, or issues caused by:
- Client payment issues
- A client team member or third-party provider refusing to grant me access to servers, hosting, or the website itself
- Clients who are slow to supply information or materials I need to complete the agreed-upon work
We are sole practitioners, not a large agency with interchangeable staff. I cannot be held responsible for deadlines missed due to circumstances beyond my control, including power outages, local or weather emergencies, personal or family emergencies (injury, accidents, death), or lack of engagement from the client’s end.
Projects are completed in queued order. Priority is given to deadlined projects that are current and paid up to date.
Payment
I generally require non-refundable payments or deposits up front. Invoices can be paid via credit card or bank transfer through Venmo, Zelle, or in some cases PayPal.
Hourly Work
I sell blocks of hours for SEO consultation and related research, site maintenance, design and site updates, technical support, and other services. Hourly work does not promise a finished product, and additional time may need to be purchased to complete a given task. Prepaid hours are not refundable.
Prepaid and Remaining Blocks of Time
If you have prepaid blocks of hours or remaining hours from a completed contract, you have 60 days from the date of purchase or end of contract (whichever applies) to use them. Unused hours expire at the end of that 60-day window and are not carried forward. New hours must be purchased to continue work.
Project Holds and Cancellations
If a client is non-responsive or unable to provide the input needed to move a project forward after multiple attempts on my end, the project will be placed on hold for 30 days. The client will be notified in writing via email and USPS.
At the end of that period, a Re-Boot Fee starting at $500 (variable based on project scope) will be applied to restart the project and fit it back into my calendar. Re-scheduling depends on my current availability. If the client remains unresponsive or declines the Re-Boot Fee, the project will be cancelled with no refunds.
Flat-fee projects that are cancelled at the client’s request, or that go more than two months with no movement due to client-side issues, will be converted to hourly time at the current hourly rate.
Consultation and Liability
My advice, consultation, site audits, content strategy, and related services are not a complete solution for your business on their own. You will be required to do your share of the work to keep your business moving forward once my services are complete.
The ongoing success of your business is your own responsibility. I am not liable to clients or any third party for damages or legal issues arising from their business practices, online or off.
Refund Policy
All deposits, milestone payments, prepaid time blocks, and project payments are non-refundable. This applies to all service types, including SEO, content, technical work, design, consultation, and digital products.
This is not a punitive policy. It reflects the way professional services work across SEO, web development, consulting, and related fields.
How This Works
Once a payment is received, that revenue is allocated against my availability. I may turn down other work or hold calendar space based on that commitment. A refund means I gave up other income for time that is no longer recoverable.
Prepaid blocks and deposits reserve my time and attention. If a client purchases a block, sits on it, then requests a refund weeks or months later, they have effectively held a free option on my schedule with no commitment on their end. The same applies to project deposits. Once I have reserved time for your project, that time is no longer available to other clients.
Even before billable work begins, I invest time in scoping, planning, reviewing materials, and organizing the engagement. That investment happens on the strength of the prepaid commitment, whether it is a time block, a deposit, or a milestone payment.
Blocks of hours are offered at a lower rate than standard hourly specifically because they are prepaid and guaranteed. The discount is the tradeoff for the commitment. Refunding that commitment would undermine the basis for the discounted rate.
Refund policies create leverage for renegotiating after the fact. Clients can dispute the value of completed work, claim they did not need all the hours, or pressure for free revisions under threat of a refund request. This policy removes that dynamic.
Processing refunds, adjudicating disputes about how time was used, tracking partial refunds, and re-reconciling payments all consume unbillable administrative time that would otherwise go toward client work.
Refunds will not be made for purchased digital products, workshops, or digital offerings.
Intellectual Property
Non-design work. For SEO content, audits, technical reports, schema markup, strategy documents, and all other non-design deliverables: full intellectual property rights transfer to the client upon receipt of final payment. Until final payment is received, I retain all rights to the work product.
Design work. For web design, graphics, visual collateral, and any other design deliverables: full copyright of the final approved deliverables transfers to the client upon receipt of final payment. This includes the right to use, modify, reproduce, and register the work as needed.
Source files and working files (layered design files, raw image files, preliminary drafts, and unused concepts) are not included in the standard project fee. These are available as a separate deliverable for an additional fee. The source file fee will be determined based on project scope and communicated before or during the project.
Preliminary concepts, drafts, and unused design directions that were not selected or approved remain my property and are not included in the IP transfer.
I retain a portfolio license on all completed design work, meaning the right to display finished deliverables in my portfolio, on my website, and in my own marketing materials. This right is non-exclusive and does not affect the client’s ownership or use of the work.
Under U.S. copyright law, intellectual property does not automatically transfer upon payment. The written terms in this policy and in any signed project agreement constitute the required written assignment.
Content Sharing and Attribution
You are welcome to share my published content on your own digital properties. If you do, you must link back to the original source on my site. Sharing content from paid workshops, digital products, or proprietary materials is not permitted.
